3.3 Service Availability
Claix will use commercially reasonable efforts to maintain the availability, security, and reliability of the Service.
Unless a separate written service-level agreement expressly states otherwise, the Service is provided on an “as available” basis and Claix does not guarantee uninterrupted or error-free availability.
Any availability target, maintenance window, uptime percentage, support response target, or service-level commitment is binding only where expressly included in a separate written agreement signed by Claix.
Claix is not responsible for interruptions, degradation, delays, or failures caused by:
- force majeure events;
- internet, telecommunications, DNS, CDN, cloud, hosting, or infrastructure-provider failures;
- third-party AI-provider outages, rate limits, changes, or failures;
- customer systems, integrations, credentials, code, or configurations;
- scheduled or emergency maintenance;
- security incidents, attacks, abuse, or denial-of-service events; or
- events outside Claix’s reasonable control.
4. Registration, User Accounts, API Keys, and BYOK Credentials
4.1 Registration and Data Accuracy
To use certain parts of the Service, the Customer may be required to create an account and provide accurate, complete, current, and authorized information.
The Customer agrees to keep its account, billing, contact, and security information up to date.
Claix may suspend or restrict access where account information is materially inaccurate, fraudulent, incomplete, misleading, or used in violation of these Terms.
4.2 Custody of Credentials and API Keys
The Customer is solely responsible for safeguarding:
- account credentials;
- Dashboard access credentials;
- Claix API Keys;
- BYOK Credentials;
- provider-account credentials;
- integration secrets; and
- any credentials generated or managed by the Customer.
Any request authenticated using a valid Claix API Key may be treated as authorized by the Customer associated with that key, except where Claix has received notice that the key has been compromised or revoked.
The Customer must promptly revoke, rotate, replace, or disable any credential that it believes may have been lost, disclosed, stolen, compromised, or used without authorization, and must promptly notify Claix where the incident may affect the Service.
The Customer remains responsible for all activity, requests, provider charges, token usage, storage, actions, and consequences arising from its account, API Keys, BYOK Credentials, integrations, code, scripts, workflows, or authorized users.
4.3 BYOK Credentials
BYOK is optional.
When the Customer enables BYOK, the Customer authorizes Claix to use the BYOK Credential solely to make requests to the selected third-party AI provider as necessary to provide the requested Claix feature.
The Customer represents and warrants that:
- it owns, controls, or is otherwise authorized to use the BYOK Credential;
- it has authority to connect that credential to Claix;
- it will comply with the applicable AI provider’s terms, policies, usage restrictions, pricing, and data-processing conditions;
- it will select an appropriate provider, model, and configuration for its use case;
- it will not provide credentials that belong to a third party without authorization; and
- it will promptly update or remove the credential if its authorization to use it ends.
Claix uses reasonable technical and organizational measures designed to protect BYOK Credentials, including encrypted secret-management mechanisms where applicable. Claix does not intentionally display full BYOK Credentials after storage and does not intentionally expose them through ordinary API responses or Dashboard views.
The Customer acknowledges that no security measure can guarantee absolute security. The Customer remains responsible for its provider account, provider charges, provider permissions, and credential lifecycle.
4.4 Traffic Limits and Fair Use
Claix may apply request limits, concurrency limits, quotas, file-size limits, content limits, throughput limits, feature limits, or other reasonable usage controls to protect the Service, prevent abuse, manage capacity, comply with provider limits, and maintain reliability.
Attempting to bypass, evade, overload, disable, probe, or circumvent usage limits, authentication, security controls, rate limits, provider restrictions, or access controls may result in suspension or termination of access.
5. Economic Conditions
5.1 Plans, Pricing, and Service Models
Claix plans, pricing, usage allowances, features, and applicable charges may be published at https://claix.dev, in the Dashboard, in an order form, or in a written commercial proposal.
Unless otherwise stated, fees are exclusive of applicable taxes, including VAT or similar indirect taxes.
Claix may offer subscription plans, usage-based plans, free tiers, trials, promotional credits, enterprise agreements, or other commercial arrangements.
5.2 Claix Managed AI
Where a Customer uses Claix Managed AI, the applicable pricing, credits, usage allowances, and charges are those stated in the relevant Claix plan, pricing page, order form, or commercial agreement.
Claix may select or change the managed provider or model configuration as necessary for security, reliability, availability, quality, token efficiency, cost management, legal compliance, or service improvement, subject to applicable notice obligations for material changes.
5.3 BYOK Pricing and Third-Party Charges
Where the Customer uses BYOK and Claix states that BYOK processing is free, this means that Claix does not charge an additional Claix processing fee for the applicable BYOK request or feature.
BYOK does not mean that AI inference, model usage, storage, provider services, or third-party services are free.
The Customer remains solely responsible for:
- all charges imposed by its selected AI provider;
- input and output token usage;
- image, audio, document, context, caching, storage, tool, or other provider charges;
- provider subscriptions;
- rate-limit upgrades;
- taxes;
- provider overages;
- provider account requirements; and
- any fees associated with the Customer’s selected model, deployment, region, or account plan.
Claix does not control third-party provider pricing, billing, token accounting, usage measurement, availability, quotas, or provider policies.
5.4 Billing and Collection
Unless otherwise agreed in writing:
- subscription charges are billed in advance at the beginning of the applicable billing period;
- usage-based or overage charges may be billed in arrears;
- invoices are payable on the due date stated on the invoice or order form; and
- the Customer authorizes Claix and its payment processor to charge the approved payment method for fees properly due.
Where a Customer provides payment information through a third-party payment processor, the processing of payment data is subject to that processor’s applicable terms and privacy notice.
5.5 Non-Payment and Suspension
Claix may suspend, restrict, or terminate access to paid features, Claix Managed AI, API Keys, or the Customer account where fees remain unpaid after notice, where payment is reversed or disputed in bad faith, or where Claix reasonably suspects fraud or abuse.
Claix may provide a reasonable opportunity to cure non-payment where appropriate, but may suspend access immediately where necessary to prevent financial loss, abuse, fraud, security harm, or provider-account risk.
6. Customer Obligations and Acceptable Use
The Customer agrees to:
- use the Service only for lawful purposes and in accordance with these Terms, Documentation, and applicable law;
- ensure that it has an appropriate legal basis, rights, permissions, notices, and consents to submit Customer Content to Claix;
- comply with data-protection, privacy, intellectual-property, export-control, sanctions, employment, consumer-protection, and other applicable laws;
- configure retention, Document Context, Knowledge Spaces, Claix Managed AI, and BYOK settings appropriately for its intended use;
- independently validate Outputs before using them in production systems or consequential workflows;
- maintain appropriate human oversight for high-impact, legal, financial, employment, healthcare, insurance, compliance, safety, or similarly sensitive decisions;
- protect its own systems, API Keys, BYOK Credentials, and provider accounts;
- comply with the selected third-party AI provider’s terms where using BYOK;
- not submit malicious files, malware, executable code, corrupted payloads, denial-of-service content, or content intended to compromise the Service;
- not attempt to access another Customer’s data, account, credentials, documents, outputs, or configuration;
- not reverse engineer, decompile, disassemble, scrape, extract, reproduce, or attempt to discover non-public source code, security controls, internal prompts, system instructions, model-routing logic, or proprietary components of the Service, except to the extent such restriction is prohibited by applicable law;
- not use the Service to develop or operate a competing document-processing, AI-routing, or API service using Claix’s non-public information;
- not resell, sublicense, rent, lease, distribute, or commercialize direct access to the Claix API without Claix’s prior written authorization, except that the Customer may use Claix as an embedded backend component of its own product or service where such use complies with these Terms and applicable plan restrictions; and
- not make misleading claims about Claix, the capabilities of AI, output accuracy, provider behavior, or third-party services.
7. Intellectual Property and Customer Content
7.1 Claix Intellectual Property
Claix and its licensors retain all rights, title, and interest in and to the Service, Platform, Dashboard, API, Documentation, source code, designs, user interfaces, workflows, schemas supplied by Claix, prompts, model-routing logic, trademarks, trade names, logos, domain names, know-how, and all related intellectual-property rights.
Subject to these Terms and payment of applicable fees, Claix grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the applicable subscription or account period for its internal business purposes or permitted product integration purposes.
No rights are granted except those expressly stated in these Terms.
7.2 Customer Content Ownership
As between Claix and the Customer, the Customer retains all rights, title, and interest in and to Customer Content.
Claix does not claim ownership of Customer Content submitted through the Service.
The Customer grants Claix a limited, non-exclusive, worldwide right to host, process, transmit, transform, store where enabled, and otherwise use Customer Content solely as necessary to provide, secure, support, maintain, and improve the Service in accordance with these Terms, the Privacy Policy, the DPA, and the Customer’s selected configuration.
7.3 Output Ownership and Use
As between Claix and the Customer, Claix does not claim ownership of the Output generated for the Customer from its Customer Content.
Subject to applicable law, third-party provider terms, and these Terms, the Customer may use, retain, reproduce, store, and incorporate Output into its own systems, workflows, records, products, and audit materials.
The Customer is responsible for reviewing Outputs before relying on them. Outputs may be incomplete, inaccurate, ambiguous, outdated, non-exclusive, or unsuitable for a particular purpose.
Claix does not warrant that Output is legally binding, authoritative, complete, correct, non-infringing, or fit to replace professional judgment, human review, legal advice, financial advice, medical advice, compliance review, or other expert assessment.
7.4 Feedback
If the Customer provides suggestions, feedback, ideas, comments, or recommendations about the Service, the Customer grants Claix a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use that feedback for improving the Service, without identifying the Customer or using Customer Content unless separately agreed.
8. Data Protection, Processing, and Retention
8.1 Roles Under Data Protection Law
Where Customer Content includes personal data and the Customer determines the purposes and means of processing, the Customer acts as controller and Claix acts as processor.
Where the Customer acts as processor on behalf of its own customer, the Customer remains responsible for ensuring that it has authority to appoint Claix as a subprocessor where required.
The data-processing relationship is governed by the Claix Data Processing Addendum (“DPA”), available at https://claix.dev/dpa, which forms part of these Terms where applicable.
8.2 Customer Instructions
The Customer instructs Claix to process Customer Content as necessary to provide the Service and perform the actions selected or initiated by the Customer through the Dashboard, API, schemas, Agent Mode, Document Context, Knowledge Spaces, retention settings, AI processing mode, and integrations.
The Customer may issue additional documented instructions, subject to feasibility, applicable law, and any applicable fees.
8.3 Retention Configuration
Claix offers features that may process Customer Content ephemerally or retain Customer Content temporarily or persistently where the Customer enables Document Context, Knowledge Spaces, or another retention-related configuration.
Where the Customer does not enable document or context persistence, Claix processes Customer Content for the duration necessary to provide the requested operation and does not intentionally create a persistent document-context record after processing is complete.
This does not mean that all technical traces disappear instantly from every system. Limited operational metadata, error information, security logs, backups, provider-level records, or records required by law may be retained for limited periods as described in the Privacy Policy, DPA, Documentation, or applicable law.
Where the Customer enables temporary or persistent retention, Customer Content may be retained according to the selected settings until expiration, deletion by the Customer, account closure, or another applicable deletion event, subject to legally required or technically necessary backup, security, and incident-response retention.
8.4 No Claix Model Training on Customer Content
Claix does not use Customer Content, including uploaded files, documents, prompts, payloads, schema content, questions, or Outputs, to train or retrain Claix models.
Claix may use aggregated, de-identified, non-content operational information for service security, abuse prevention, reliability, performance monitoring, and product improvement, provided that such use does not involve using identifiable Customer Content to train a model.
8.5 Third-Party Provider Processing
When Claix Managed AI is used, Claix may send Customer Content necessary to provide the requested feature to one or more third-party AI inference providers selected by Claix.
When BYOK is used, Claix sends Customer Content necessary to perform the requested operation to the AI provider selected by the Customer, using the Customer’s BYOK Credential.
The Customer acknowledges that third-party AI providers may have their own terms, privacy policies, data-use conditions, retention practices, processing locations, availability commitments, and limitations.
Claix does not control the independent policies or actions of a provider selected by the Customer through BYOK. The Customer is responsible for reviewing the selected provider’s terms and choosing a configuration appropriate for its use case.
8.6 International Transfers
Customer Content, account data, technical data, or Output may be transferred to, accessed from, or processed in locations outside the European Economic Area where necessary to provide the Service, including through Claix Managed AI providers, BYOK providers, infrastructure providers, support providers, or other subprocessors.
Where Claix acts as processor and transfers personal data outside the EEA to a country without an adequacy decision, Claix will use an appropriate transfer mechanism required by applicable data-protection law, as described in the DPA or applicable subprocessor documentation.
Where BYOK is used, the Customer is responsible for evaluating the selected provider’s processing location and international-transfer safeguards under its own direct relationship with that provider.
9. AI Features, Outputs, and Customer Validation
9.1 Nature of AI Features
AI Features use probabilistic, statistical, semantic, and automated processing techniques to interpret Customer Content, extract information, map fields, generate structured outputs, answer questions, and provide other AI-assisted functions.
AI Features may produce errors, omissions, inconsistencies, unsupported inferences, hallucinations, incorrect classifications, incomplete outputs, or results that differ across providers, models, prompts, languages, document formats, or configurations.
9.2 No Guarantee of Accuracy
Claix does not guarantee that Outputs will be complete, accurate, error-free, current, unique, compliant, legally binding, or suitable for any particular purpose.
The Customer is responsible for:
- validating Outputs;
- applying deterministic checks where appropriate;
- maintaining human review where necessary;
- verifying critical facts against source documents;
- ensuring outputs are appropriate before making high-impact decisions; and
- implementing safeguards in its own applications and workflows.
9.3 BYOK-Specific Limitations
Where BYOK is enabled, the Customer acknowledges that output quality, latency, availability, token use, supported features, document-processing performance, structured-output behavior, retention, and error behavior may vary depending on the selected provider, model, deployment, account tier, region, provider settings, and provider service availability.
Claix does not guarantee that BYOK will provide the same behavior, quality, compatibility, performance, availability, security posture, or feature set as Claix Managed AI.
Claix may restrict or disable the use of an incompatible provider or model for a specific feature where necessary to protect the Service, prevent errors, comply with provider requirements, or maintain reasonable security and reliability.
9.4 No Professional Advice or Autonomous Authority
Outputs are informational and operational aids only.
Unless Claix expressly agrees otherwise in writing, Outputs are not legal advice, financial advice, tax advice, medical advice, employment advice, insurance advice, compliance certification, regulatory advice, security advice, or a binding professional opinion.
The Service must not be used as the sole basis for decisions that produce legal, financial, employment, healthcare, insurance, safety, or similarly significant effects on individuals or organizations without appropriate human review and independent verification.
10. Liability and Limitation of Warranties
10.1 Service Provided “As Is”
To the maximum extent permitted by applicable law, the Service, AI Features, Outputs, Documentation, and third-party integrations are provided “as is” and “as available.”
Claix disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and error-free operation.
Nothing in these Terms excludes or limits any warranty, liability, or right that cannot lawfully be excluded or limited.
10.2 Limitation of Liability
To the maximum extent permitted by applicable law, Claix’s total cumulative liability arising out of or related to these Terms or the Service shall not exceed the greater of:
- the total amount paid by the Customer to Claix during the three (3) months immediately preceding the event giving rise to the claim; or
- EUR 100.
For Customers using only free BYOK features and who have paid no fees to Claix during that period, Claix’s total cumulative liability shall not exceed EUR 100, to the extent permitted by applicable law.
10.3 Excluded Damages
To the maximum extent permitted by law, Claix shall not be liable for:
- indirect, incidental, special, punitive, exemplary, or consequential damages;
- loss of profits, revenue, business opportunity, goodwill, anticipated savings, or reputation;
- loss, corruption, or unavailability of data;
- business interruption;
- costs of procurement of substitute services;
- errors caused by Customer Content, Customer systems, Customer workflows, Customer credentials, customer configuration, or third-party providers;
- third-party AI-provider charges, outages, rate limits, data handling, model changes, or output behavior;
- reliance on inaccurate or incomplete Output; or
- decisions made by the Customer or its users based on the Service or Outputs.
10.4 Allocation of Risk
The Customer acknowledges that the pricing, including free BYOK processing where offered, reflects the allocation of risk set out in these Terms.
The Customer is responsible for implementing appropriate backup, validation, review, monitoring, security, data-protection, and business-continuity measures in its own systems.
11. Duration, Suspension, and Termination
11.1 Duration
These Terms take effect when the Customer first accepts them, creates an account, uses the Dashboard, generates an API Key, enables BYOK, or makes an API request, whichever occurs first.
They remain in effect until terminated in accordance with these Terms.
11.2 Termination by the Customer
The Customer may stop using the Service and close its account at any time, subject to any active paid subscription, order form, or contractual commitment.
Unless otherwise stated in a written agreement, cancellation of a subscription takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by applicable law or expressly stated otherwise.
Before closing an account, the Customer is responsible for exporting any information it wishes to retain and deleting retained document context, Knowledge Spaces, BYOK connections, and Customer Content where applicable.
11.3 Suspension or Termination by Claix
Claix may suspend, restrict, or terminate access to the Service, API Keys, BYOK connections, or the Customer account immediately where Claix reasonably believes that:
- the Customer has materially breached these Terms;
- the Customer has failed to pay amounts due;
- use of the Service creates a security, legal, financial, reputational, operational, or provider-compliance risk;
- the Customer is using stolen, unauthorized, compromised, or fraudulent credentials;
- the Customer is engaging in abuse, fraud, malicious activity, unlawful conduct, or attempted unauthorized access;
- the Customer is violating applicable provider terms through BYOK;
- the Customer is attempting to bypass security, quotas, or rate limits;
- suspension is required by law, a competent authority, or an applicable third-party provider; or
- continued access could harm Claix, other users, providers, or the Service.
Where reasonably practicable, Claix will provide notice and an opportunity to cure. Claix is not required to provide advance notice where doing so could create security, legal, fraud, or operational risk.
11.4 Effect of Termination
Upon termination or account closure:
- the Customer’s right to access and use the Service ends;
- Claix may disable API Keys and BYOK connections;
- Customer Content will be deleted or returned in accordance with the DPA, Privacy Policy, selected retention settings, Documentation, and applicable law;
- certain records may be retained where required or permitted for legal, accounting, tax, security, fraud-prevention, backup, dispute-resolution, or compliance purposes; and
- provisions that by their nature should survive will survive, including provisions on intellectual property, confidentiality, liability limitations, payment obligations, dispute resolution, and applicable law.
12. Confidentiality
Each party may receive non-public, confidential, technical, commercial, security, product, pricing, business, credential, or proprietary information from the other party (“Confidential Information”).
Each party agrees to:
- use the other party’s Confidential Information only as necessary to perform or receive the Service;
- protect it using reasonable care and no less than the care it uses to protect its own similar information;
- disclose it only to personnel, contractors, advisors, and providers who have a legitimate need to know and are bound by confidentiality obligations; and
- not disclose it to third parties except as permitted by these Terms, the DPA, applicable law, or the other party’s written consent.
Confidential Information does not include information that the receiving party can demonstrate:
- was lawfully known before disclosure;
- becomes publicly available without breach of these Terms;
- is independently developed without use of the other party’s Confidential Information; or
- is lawfully received from a third party without confidentiality restriction.
A party may disclose Confidential Information where required by law, provided that it gives prior notice where legally permitted.
These confidentiality obligations remain in effect during the relationship and for three (3) years after termination, except that trade secrets and BYOK Credentials must be protected for as long as they remain confidential under applicable law.
13. Applicable Law and Jurisdiction
These Terms are governed by Spanish law.
To the extent permitted by applicable law, the parties submit any dispute arising out of or related to these Terms or the Service to the exclusive jurisdiction of the Courts and Tribunals of Madrid, Spain.
Nothing in these Terms limits mandatory rights that may apply to a User under applicable consumer, data-protection, or other mandatory law.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy, DPA, applicable pricing, Documentation, order form, and any written agreement signed by Claix and the Customer, constitute the entire agreement between Claix and the Customer regarding the Service.
If there is a conflict between these Terms and a separately signed agreement, the separately signed agreement prevails to the extent of the conflict.
14.2 Order of Precedence
In the event of conflict, the following order of precedence applies:
- a separately signed enterprise agreement or order form;
- the DPA with respect to personal-data processing;
- these Terms;
- the Privacy Policy;
- Documentation and website content.
14.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.
14.4 Assignment
The Customer may not assign, transfer, delegate, or sublicense its rights or obligations under these Terms without Claix’s prior written consent.
Claix may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or transfer of all or substantially all of its business, provided that the assignee agrees to assume Claix’s obligations under these Terms.
14.5 Waiver
Failure by either party to enforce a provision of these Terms shall not be considered a waiver of that provision or any other provision.
14.6 Notices
Claix may provide notices under these Terms by email to the email address associated with the Customer’s account, through the Dashboard, through the Service, or by posting on the Claix website.
The Customer is responsible for maintaining a current email address and monitoring notices sent through the Dashboard or Service.
